The EUROPAGES Companies Directory

The user is a person using a web browser to visit the europages.com site, hereinafter referred to as "the User".
In order to use the services offered by EUROPAGES, the User acknowledges and accepts the conditions for the use of the EUROPAGES Companies Directory (hereinafter referred to as the "Directory") and services associated therewith as set forth herebelow:

I Purpose

The EUROPAGES Companies Directory allows Users to carry out a search on the EUROPAGES site, where approximately 2.000.000 companies are listed in its database comprising free entries and paid advertisements.
The site www.europages.co.uk also offers a selection of online services and information collected under the Business Resources heading

II Registration procedure

II.1 Administrator of a paid advertisement status

Any User whose company has a paid advertisement in the Companies Directory is designated as an Advertiser, hereinafter referred to as "the Advertiser". Only the Advertiser has the rights of administrator of a paid advertisement.
Any User can request a paid advertisement using a form or by calling EUROPAGES or a EUROPAGES sales representative.

II.2 Paying member status

EUROPAGES hereby states that the Bonus Pack commercial offer will no longer be available from 30th January 2008 and will be replaced by the Paying member Status.
To acquire Paying member status, the User must fill in a form online. This form is sent to a sales representative who processes the request and transforms it into a promotional advertisement. The User then becomes a paying Advertiser. This Advertiser status gives the user access to the privileges of a Paying member with all the associated rights.
When the User sends his request to become a Paying member, while waiting for the sales representative to make contact, he is temporarily granted the rights associated with the Paying member status.
Once the User has confirmed his purchase of an advertisement in the Companies Directory with the sales representative, his status is changed from temporary Paying member to Paying member with all the rights that this entails: an advertisement in the Companies Directory, E*page, contact with buyers on Buy & Sell, viewing of the full list of announcements on PUBLIC PROCUREMENT.
EUROPAGES gives the User a E*page consisting of a personalised fact sheet available on the EUROPAGES site which contains all the features of the promotional advertisement purchased by the company.
In the interests of supplying accurate and detailed information on the Advertisers on the EUROPAGES site, the said Advertisers (Paying members) are required to complete the "E*page" given to them, indicating in particular their key figures (number of employees, turnover, percentage of turnover from exports, etc.), their organisation (year established, VAT number, existing establishments, etc.) as well as their commercial details (payment methods, Import/Export zone, etc.).

II.3 Registered Only status

Any User who wishes to register free on EUROPAGES, but whose company is not registered in the Companies Directory, is designated as Registered Only.
To do so, the User shall conform with the free registration procedure as follows:
The User shall complete the registration form and provide the following requisite information:

  • Complete details of the User and the company, the language selected, the registered company name, the country of activity and industry sector(s), the type of company
  • Identifier (email address) and password, secret question and answer enabling the User to retrieve the password should it be forgotten.

An email shall then be sent to the User to ensure the electronic address provided is valid.
The User must then confirm registration by clicking on the link provided for this purpose in the email.
The private data thus stored may be accessed and modified in MyEUROPAGES.
Should the registration form be incomplete, EUROPAGES will be unable to proceed with the free registration.
The Registered Only user shall guarantee that the information forwarded to EUROPAGES on registration is accurate and up-to-date.
EUROPAGES shall however not be held responsible for any inaccurate or out-of-date information forwarded by the Registered Only user.



II.4 Administrator of a free entry status

Any User whose company has a free entry in the Companies Directory is designated as an administrator of a free entry.
Any User may request a free entry via a registration form. 
When registration is taking place, a check is carried out to verify the existence of the User's company in the EUROPAGES database.
If there is already a free entry for this company (same registered name, same country, same postcode), the request will automatically be rejected.
If there is no free entry for this company, the request will automatically be registered and submitted to moderators. If the request meets the selection criteria, it will be placed online on the Companies Directory.
The selection criteria are as follows: the company must prove its b2b (business to business) activity, have legal status in its country and provide legitimate products or services.

III CONTACTS

EUROPAGES gives the User the following methods for contacting the EUROPAGES advertisers selected: the "Click to talk" button and single or multiple emails.

III.1 Sending single or multiple emails

EUROPAGES allows the User to contact the companies in the Directory by email for free. The User can send an email to a single company. This procedure is called "single email".  He can also select several companies by checking the boxes provided for this purpose and send several emails simultaneously. This procedure is called "multiple emails".

IV EUROPAGES' responsibilities

EUROPAGES may not under any circumstances be held responsible for the exchanges between Users and companies or any relationship that may be established between them.

IV.1 Accuracy of published information

EUROPAGES shall take all reasonable measures to publish accurate and complete information.
As a result, EUROPAGES shall not be held responsible for the consequences of any use of inaccurate or incomplete information.

IV.2 Use of the Directory and the services associated therewith

EUROPAGES shall not be held responsible for any damage, direct or indirect, resulting from the use of the Directory and the services associated therewith for any reason whatsoever.
EUROPAGES declines all responsibility for the malfunction of the Directory and the services associated therewith in the event of any malfunction in conjunction with any other product, hardware or software and/or any loss or distortion of data.

IV.3 Use of links to sites external to the site www.europages.com

Certain pages on the site www.europages.com contain links to external Internet pages having no partnership with EUROPAGES.
As EUROPAGES is unable to monitor all the content of the Internet sites linked to the site www.europages.com, the User hereby acknowledges that EUROPAGES shall not be held responsible for any products, services and/or information available on and/or from such Internet sites.
EUROPAGES strongly recommends that its Users read the policy on the protection of private data of each Internet site they consult.

IV.4 Security

EUROPAGES applies a set of measures designed to limit the risks connected with intrusion, piracy and the introduction of viruses into its servers and/or the site www.europages.com
EUROPAGES makes every effort to secure the contents of the Directory and the services associated therewith, particularly in terms of confidentiality and integrity.
EUROPAGES is unable to offer an absolute guarantee of security, in so far as the Internet is an open network, by nature sensitive to such risks. 
The User of the Directory and the services associated therewith declares that it is aware of said risks and accepts them.
Under no circumstances shall the liability of EUROPAGES be invoked for any injury and/or direct or indirect damage suffered by the User resulting from any interruption or malfunction of the Directory and the services associated therewith and/or from the suspension and/or termination thereof or from the connection to the site www.europages.com.

IV.5 Equipment and connection charges

It shall be incumbent upon the User to install the appropriate equipment so as to access the Directory and the services associated therewith. 
All costs relating to equipment, connection and transmission necessary for the use of the Directory and the services associated therewith shall be borne exclusively by the User.
Furthermore, it shall be incumbent upon the User to take the appropriate measures to protect its own data and/or software stored on its computing equipment against any loss or damage.
The User shall be solely responsible for the connection.

IV.6 Suspension of access to the Companies Directory

EUROPAGES may suspend the access to the Companies Directory and the services associated therewith and/or to all of the site www.europages.com, of any user infringing the Conditions of Use and more generally any legislation and/or regulation that may be applicable.
Such suspension shall not imply the liability of EUROPAGES, without prejudice to its other rights to take legal action, and shall be notified by email. 
In such an event, EUROPAGES shall make no reimbursement, either full or partial, if the User has subscribed to a Bonus Pack and/or taken out a paying subscription.

V Intellectual property rights

V.1 EUROPAGES database protection

In accordance with Act no. 98-536 of July 1st 1998 transposing into the French Intellectual Property Code the European Directive no. 96/9/EC of March 11th 1996 concerning the legal protection of databases, EUROPAGES is producer and owner of all or part of the databases making up the Directory, with the exception of elements contributed by EUROPAGES' partners or other sites accessible from the site www.europages.co.uk.
With regard to the database making up the Directory and the services associated therewith, the User acknowledges that the data comprised therein is legally protected and, in accordance with the legal provision cited hereabove, shall refrain from:
• extracting, reusing, storing, representing, reproducing or stocking, directly or indirectly, in any medium whatsoever, by any means and in any form whatsoever, all or any qualitatively or quantitatively substantial part of the contents of the databases on the Directory and any associated services
• systematically and repeatedly extracting or reusing any qualitatively or quantitatively non-substantial part of the contents of the databases on the Directory and any associated services, that are accessed during operations that obviously go beyond the normal terms of use of a directory.

V.2 Protection of EUROPAGES trademarks, logos and other registered items

All editorial elements and content of the EUROPAGES site (notably trademarks, texts, graphics, logos, animations, etc.) are the exclusive property of EUROPAGES, with the exception of elements contributed by EUROPAGES' partners or other sites accessible via the EUROPAGES site.
All rights of reproduction or representation of the site www.europages.co.uk are reserved for all countries and for all media, present and/or future.
The User acknowledges that the downloading of addresses and information from the Directory and services associated therewith or with any part of the site www.europages.co.uk, for the purposes of constituting a database is prohibited.

VI Application date and duration of validity of the Conditions of Use

The Conditions of Use of the Companies Directory and the services associated therewith shall apply to the User upon connection to the site www.europages.com.
They shall prevail over all previous Terms of Use and may be amended at any time by EUROPAGES.
In such an event, the amendments shall be effective as soon as they are posted online.

VII User's responsibility

Any violation of the restrictions stated above shall be deemed to constitute infringement of copyright.

VII.1 General Obligation

The User of the Directory and its associated services shall refrain from hindering the smooth operation of the Directory in any manner whatsoever.
More specifically, he shall ensure the throughput is not unduly overloaded and/or that no elements shall be transmitted that may be likely to damage, intercept and/or interfere with all or part of the EUROPAGES site.

VII.2 Restrictions

The User of the Directory and the services associated therewith may not:
proceed with any decompilation, reverse engineering or disassembly of the Directory and the services associated therewith or attempt to discover their source code;
alter or disrupt the functioning, communication or any other operation of the Directory and the services associated therewith during the use thereof;
duplicate, reproduce, copy, modify or create any product derived from the Directory and the services associated therewith.

VIII APPENDIX 1

Intra-community VAT

VIII.1 Companies located within the European Union

The 6th European Directive of May 17 1977, amended in 1992, establishes the principle of intra-community VAT.
The objective thereof is to simplify and develop exchanges, and to avoid companies being taxed twice, in their country of origin and in the country where they purchase goods or services.
Generally speaking, a purchase made abroad is subject to the regulations applicable in the country in which such purchase is made.
However, if the importing company is based in the European Union and has a valid VAT number, a purchase ordered and received within the European Union is not subject to VAT in the exporting country.
To determine the country in which the VAT must be paid, the purchaser must provide the seller with its VAT number.
Thus, regarding purchases made from EUROPAGES, companies located in a European Union member state outside France and possessing a valid VAT number shall be exempt from paying French VAT.
As the EUROPAGES head office is located in France, French companies shall be subject to French VAT.

VIII.2 Companies located outside the European Union

EUROPAGES prices are quoted exclusive of VAT. If the User's company is not based within the European Union, it must discharge the duties, taxes and excise relating to the importation of goods and services from France. 
The User is also bound to ensure that the importation of such goods and services does not infringe the laws in force in the importing country.

IX Jurisdiction - Resolving disputes

In the event of major difficulty or dispute between the User and EUROPAGES, the Parties hereby agree to seek an amicable settlement.
Should this fail, any such dispute shall be submitted to the Nanterre Commercial Court.
The present Conditions of Use shall be subject to French law.
Should the present Terms of Use be translated, the French version shall prevail over all others.

X The EUROPAGES Search Bar

X.1 Authorised use

The User shall refrain from using the search bar automatically, through automated methods, "metaspiders", "crawlers" or any other similar means.
It is hereby forbidden to make any use of the search bar that may disrupt the functioning of the search tools or any other services provided by the EUROPAGES site.

X.2 Purpose

The EUROPAGES Search Bar (hereinafter referred to as the "search bar") gives access to the Companies directory database and to certain Business Resources.
By installing the search bar, the User accepts that EUROPAGES may freely supplement, modify or delete all or part of the Business Resources it supplies.

XI Commercial offer

XI.1 Options

Additional products or "options" may be sold with or without "pack" advertisements.

XI.1.1 Options that can be sold with or without the Advertisement Pack

The products are as follows: the Promolink, the Banner, the VIP box, the Sponsor Homepage.

XI.1.2 Options that must be sold with an Advertisement Pack

The products are as follows: the additional keywords pack, the "Click to talk" button and the VideoSpot (only for France, Italy, Germany, Belgium and Spain).

XI.2 Promotional Advertisements

EUROPAGES offers Advertisers 4 fully online packs, each with a choice of either a 6 or 12 month duration: ENTRY PACK, ECONOMIC PACK, MEDIUM PACK, PREMIUM PACK.
Contact a sales representative for more information on the different packs available.
The advertisement is translated into 13 or 15 languages as standard, except in the case of contractual provisions to the contrary.
The advertisements contain the following information:
• Searchable items: headings, keywords, registered name and advertisement text.
• Contact items: email, telephone, mobile, fax.
• Geolocation items: postal address, postcode, country, map.
• Information items: Web link (Internet site address or URL), Image gallery, Business information.
• "Direct trade" items: submission of offers and creation of alerts on the Buy & Sell marketplace, possibility to reply to all offers on the Buy & Sell marketplace, gateway between the Buy & Sell marketplace and the E*page.
• Loyalty items: access to myEUROPAGES via a username and password and possibility of updating the personal profile and company profile, the advertisement, the business information, the image gallery and use of the gateway.
• Identity item: logo.

Certain items that make up the advertisement may vary according to the type of pack chosen. These items are:
• The number of telephone numbers attributed to the Advertiser.
• The number of email addresses attributed to the Advertiser.
• The number of fax numbers attributed to the Advertiser
• The number of mobile telephone numbers attributed to the Advertiser.
• The number of web links attributed to the Advertiser.
• The number of headings attributed to the Advertiser.
• The number of keywords attributed to the Advertiser.
• The number of characters for the advertisement text attributed to the Advertiser.
• The number of language versions of the advertisement attributed to the Advertiser.

Each Advertiser has a E*page (defined in article 1.2.4 above) where all the items of the advertisement are displayed in extenso.

XII User comments

EUROPAGES shall provide the User with the opportunity to make comments and suggestions concerning the Directory and the services associated therewith.
The information contained within the help forms, advertisement insertion request forms or partnership request forms can be used freely by EUROPAGES and with no financial consideration for the User concerned by this information.
